The sale of “ready-made” shelf companies in Poland enables our clients to enter the market within a matter of hours. The shelf companies comply with all registration rules in Poland.
At the moment of the transfer to a new owner, the shelf company has:
- A minimum statutory share capital of 50.000 PLN paid to the shelf company’s bank account
- A registered seat in the centre of Warsaw
- A management Board (local ASB managers) that can either remain on the Board or can be replaced anytime (even before the transfer to the new owners)
- Full tax registration (Corporate Income Tax, VAT, VAT-EU)
- Registration in the Commercial Court
- Mandatory registration in the National Statistical Office
- Articles of association which in most cases do not have to be amended before the client starts their business in Poland
- A bank account with a major bank with no fixed monthly fees charged for the first few months of operation
- Up-to-date accounting books
- Electronic access to the Commercial Court Register, Tax Office and Statistical Office
The companies are ready to do business and ASB guarantees by contract that they have never done any business activities before, have no assets, employees or commercial obligations.
ASB is the sole founder, and subsequently the sole shareholder, of the shelf companies. We can also provide all the changes to this entity, as requested by the client (change of directors, change of the registered address, etc.).
Besides ready-made companies (shelf companies), we can provide formations of new companies, according to the client’s requirements. We, however, do not recommend this solution unless it is crucial for the client to do so. The process of company formation in Poland is long and may take more than 8 weeks.
